1. Agreement to Terms

By accessing or using IntelliRepo ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

IntelliRepo is an AI-powered document management and search platform that allows you to:

Upload and organize documents into collections
Search and chat with your documents using AI
Integrate with external applications via API
Manage team access and permissions

3. Account Registration

To use the Service, you must:

Provide accurate and complete registration information
Maintain the security of your account credentials
Promptly notify us of any unauthorized use
Be at least 16 years old

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Service to:

Upload content that is illegal, harmful, threatening, abusive, or violates any third-party rights
Attempt to gain unauthorized access to the Service or other accounts
Interfere with or disrupt the Service or servers
Use the Service for competitive analysis or to build a similar product
Resell or redistribute the Service without authorization
Exceed your plan's usage limits through automated means
Upload content that contains malware or harmful code

5. Your Content

5.1 Ownership

You retain all rights to the documents and content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.

5.2 License

You grant us a limited license to use Your Content solely to provide the Service, including:

Processing and storing your documents
Creating searchable embeddings
Generating AI responses based on your documents
Displaying content to authorized users

This license terminates when you delete Your Content or your account.

5.3 Responsibility

You are solely responsible for Your Content and ensuring you have the right to upload it. You represent that Your Content does not infringe any third-party rights.

6. AI-Generated Responses

The Service uses AI to generate responses based on your documents. You acknowledge that:

AI responses may not always be accurate or complete
You should verify important information from original sources
AI responses should not be relied upon for legal, medical, or financial advice
We are not responsible for actions taken based on AI-generated content

7. Plans and Payment

7.1 Plans

We offer various subscription plans with different features and limits. Current pricing is available at intellirepo.com/pricing. We reserve the right to change pricing with 30 days notice.

7.2 Free Trial

New accounts receive a 14-day free trial. At the end of the trial, you must select a paid plan to continue using premium features or downgrade to the free tier.

7.3 Billing

Paid subscriptions are billed monthly or annually. All fees are non-refundable except as required by law. If you cancel, you retain access until the end of your billing period.

8. Intellectual Property

The Service, including its design, features, and content (excluding Your Content), is owned by IntelliRepo and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

9. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account if you:

Violate these Terms
Fail to pay applicable fees
Engage in fraudulent or illegal activity
Create risk or legal exposure for us

Upon termination, you must cease using the Service. We may delete Your Content after 30 days unless required to retain it by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLIREPO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless IntelliRepo and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, Your Content, or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.
